1. Eligibility

3. Subscription Plans and Billing
3.1 Certain Services require payment of subscription fees.
3.2 By subscribing, you authorize Jolo and its payment providers to charge your selected payment method on a recurring basis until cancellation.
3.3 Subscription fees are billed in advance and are non-refundable except where required by law.
3.4 Jolo may modify pricing at any time. Continued use of the Services after pricing changes become effective constitutes acceptance of the updated pricing.
3.5 Failure to complete payment may result in suspension or termination of access to the Services.
4. License to Use the Services
4.1 Subject to these Terms, Jolo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful business purposes.
4.2 You may not:
- Reverse engineer, decompile, or copy the Services.
- Use the Services to develop competing products.
- Resell or sublicense the Services without authorization.
- Bypass security or usage limitations.
- Access the Services through automated scraping methods except through approved APIs.
5. User Content
5.1 You retain ownership of all prompts, uploads, data, branding materials, media, and other content submitted to the Services ("User Content").
5.2 You grant Jolo a worldwide, limited license to host, process, reproduce, analyze, and transmit User Content solely for purposes of operating, improving, and providing the Services.
5.3 You represent and warrant that:
- You own or control the necessary rights to User Content.
- User Content does not violate applicable law.
- User Content does not infringe intellectual property or privacy rights.
5.4 Jolo may remove or restrict access to User Content that violates these Terms or creates legal or operational risk.
6. AI-Generated Content
6.1 The Services use artificial intelligence systems to generate text, marketing materials, recommendations, automations, customer support responses, SEO content, and other outputs.
6.2 AI-generated outputs may be inaccurate, incomplete, offensive, biased, unavailable, or unsuitable for specific purposes.
6.3 You are solely responsible for reviewing, verifying, editing, approving, and publishing any AI-generated content.
6.4 Jolo makes no warranties regarding:
- Search engine rankings.
- Traffic growth.
- Customer acquisition.
- Conversion rates.
- Revenue generation.
- Social media performance.
6.5 You acknowledge that AI-generated outputs may not be unique and may resemble content generated for other users.
7. Acceptable Use Restrictions
7.1 You may not use the Services to:
- Violate laws or regulations.
- Generate fraudulent, defamatory, abusive, or misleading content.
- Distribute spam or malicious software.
- Impersonate individuals or organizations deceptively.
- Infringe intellectual property rights.
- Interfere with platform security or operations.
- Engage in unlawful surveillance or data harvesting.
- Generate content promoting violence, exploitation, or illegal activity.
7.2 Jolo reserves sole discretion to determine whether conduct violates these Terms.
8. Third-Party Services and Platforms
8.1 The Services may integrate with third-party platforms including social networks, payment processors, analytics tools, AI model providers, publishing tools, and CRM systems.
8.2 Jolo is not responsible for third-party services, including outages, API restrictions, account suspensions, policy changes, or platform limitations.
8.3 Your use of third-party services remains subject to their respective terms and policies.
9. Intellectual Property Rights
9.1 The Services, including software, workflows, branding, interfaces, designs, graphics, AI systems, and proprietary technology, are owned by Jolo or its licensors and protected by applicable intellectual property laws.
9.2 Except for the limited license expressly granted under these Terms, no rights are transferred to you.
9.3 You may not use Jolo trademarks, logos, or branding without prior written consent.
10. Beta Features
10.1 Jolo may offer beta, experimental, preview, or early-access features ("Beta Features").
10.2 Beta Features may contain bugs, interruptions, or inaccuracies and may be modified or discontinued at any time.
10.3 Jolo provides Beta Features on an "as-is" basis without warranties or guarantees of availability.
11. Availability and Service Modifications
11.1 Jolo may modify, suspend, discontinue, or restrict any portion of the Services at any time without liability.
11.2 Jolo does not guarantee uninterrupted or error-free operation of the Services.
11.3 Scheduled maintenance, security updates, outages, or third-party failures may temporarily affect availability.
12. Privacy and Data Processing
12.1 Your use of the Services is subject to the Jolo Privacy Policy.
12.2 You acknowledge that data submitted through the Services may be processed by AI systems and third-party infrastructure providers.
12.3 You are responsible for obtaining any necessary rights, permissions, or consents relating to submitted data.
13. Termination
13.1 You may stop using the Services at any time.
13.2 Jolo may suspend or terminate access immediately if:
- You violate these Terms.
- Payment obligations are not met.
- Your use creates legal, operational, or reputational risk.
- Required by law or third-party provider obligations.
13.3 Upon termination, your right to access the Services immediately ceases.
14. Disclaimers
14.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOLO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
14.3 JOLO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
15. Limitation of Liability
15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOLO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
15.2 JOLO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO JOLO DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless Jolo and its affiliates, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, and expenses arising out of:
- Your use of the Services.
- Your User Content.
- Your violation of these Terms.
- Your violation of applicable law or third-party rights.
17. Governing Law
These Terms shall be governed by and construed under the laws of the applicable jurisdiction in which Jolo operates, without regard to conflict of law principles.
18. Changes to These Terms
Jolo may update these Terms from time to time. Updated Terms become effective upon posting. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
